REITS

Town Centre Securities former REIT status and tax consequences:

Town Centre Securities PLC was a Real Estate Investment Trust (REIT) in the period from 2 October 2007 to 30 June 2023.
During this period, all profits from property rental and property disposals were exempt from corporation tax liability and the deferred tax liability on revaluation surpluses, of £65.9m at 30 June 2007, was extinguished.
Under REIT rules, 90% of the profits of the property rental business, after certain deductions, were distributed to shareholders as a Property Income Distribution (‘PID’).
Town Centre Securities PLC paid an entry charge broadly equal to 2% of the aggregate market value of properties of the UK qualifying property rental business at the date of conversion in 2007.
From 1 July 2023 corporation tax applies in the normal way in respect of all of the Group’s profits and gains
